1. Introduction

These Terms and Conditions (“Terms”) govern all services, interactions, and business engagements with CodXpert. By accessing our services, website, software, or consulting solutions, the client (“You,” “Your,” or “Client”) agrees to comply with and be bound by these Terms.

If you do not agree to these Terms, you must discontinue the use of our services.


2. Definitions

  • Company / We / Us / Our: Refers to CodXpert.

  • Client: Any individual or organization engaging CodXpert for services.

  • Services: All consulting, energy audits, assessments, reports, technical analysis, and related deliverables provided by CodXpert.


3. Scope of Services

CodXpert provides professional services, which may include but are not limited to:

  • Energy audits and assessments

  • System and equipment evaluation

  • Power quality analysis

  • Renewable energy feasibility

  • Documentation and compliance support

  • Customized energy-saving strategies

The exact scope will be defined in the project proposal, agreement, or quotation issued to the client.


4. Fees and Payment Terms

  • All fees or charges will be communicated in writing before project initiation.

  • Payments must be made as per the timelines mentioned in the invoice or agreement.

  • Late payments may result in service delays or additional charges.

  • All government taxes and statutory charges (if applicable) must be borne by the client.

CodXpert reserves the right to revise pricing at any time, except for ongoing contracts.


5. Client Responsibilities

Clients must:

  • Provide accurate information and necessary documentation for project execution.

  • Grant access to relevant data, systems, or locations (if applicable).

  • Ensure coordination with their internal teams for prompt communication.

CodXpert is not responsible for delays caused by incomplete or inaccurate information from the client.


6. Confidentiality

Both parties agree to:

  • Keep all business, technical, financial, and personal information confidential.

  • Not disclose any confidential information to third parties without written consent.

This clause remains active even after project completion or termination.


7. Intellectual Property

  • All methodologies, tools, templates, and frameworks used by CodXpert remain the intellectual property of the Company.

  • Reports and deliverables created specifically for the client may be used internally by the client but must not be sold, resold, or distributed without permission.


8. Limitations of Liability

CodXpert shall not be liable for:

  • Any indirect, incidental, or consequential damages

  • Loss of business, revenue, or profit

  • Delays caused by external factors beyond our control

Our maximum liability, if proven, will not exceed the total amount paid by the client for that specific service.


9. Service Modifications

CodXpert reserves the right to:

  • Modify, enhance, or discontinue any service

  • Update methodologies and deliverables to maintain quality

  • Change timelines if required due to unforeseen circumstances

Clients will be notified in advance whenever possible.


10. Cancellation & Termination

  • Either party may terminate the service with written notice.

  • Fees for completed or ongoing work will remain payable.

  • No refunds will be issued for services already delivered.

CodXpert may terminate the engagement if:

  • The client violates these Terms

  • Payment delays or misuse of service occurs

  • Fraudulent or unethical activities are identified


11. Data Protection

CodXpert follows strict data protection practices and ensures:

  • Secure handling of all client data

  • Use of client data only for service-related purposes

  • Compliance with confidentiality and privacy standards

However, CodXpert is not responsible for breaches caused by external cyber-attacks beyond reasonable control.


12. Third-Party Tools & Integrations

CodXpert may use third-party tools, software, or platforms.
We do not guarantee:

  • Performance of third-party systems

  • Availability or support from third-party providers

Clients agree to abide by the respective terms of these platforms.


13. Indemnification

Clients agree to indemnify and hold CodXpert harmless from:

  • Any claims, losses, or damages arising out of the client’s misuse of services

  • Violations of law or breach of these Terms by the client


14. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.


15. Amendments

CodXpert reserves the right to update or modify these Terms at any time.
All updates will be communicated or published as applicable.


16. Acceptance of Terms

By engaging with CodXpert or using our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
